Solicitor – Corporate & Commercial Department

I am currently recruiting for a Solicitor to join my clients the Corporate & Commercial department. The Corporate & Commercial team is made up of 1 Partner, 4 Solicitors and 3 Secretaries. They are now looking to add another Solicitor to this extremely busy department. The ideal candidate will need to be happy with M&A’s up to the value of £10M (as part of a team). Some deals are much higher than this, £100M+, but these are more rare.

My client has seen a lot of change over the past few years and is now a forward-thinking dynamic and proactive legal firm. They welcome new initiatives and ideas and have recently brought in a Marketing Manager & assistant to help push the company’s presence forward. There is also a focus on business development, both existing and new to make sure that the firm is constantly moving forwards.

Corporate & Commercial Solicitor Salary

Corporate & Commercial Solicitor Primary Duties

To work in conjunction with the Corporate & Commercial Partner and other members of the Corporate and Commercial team in dealing with the Firm’s Corporate and Commercial workload and to support the Partners in the development of commercial and other suitable work for the Department.

Assisting the Corporate & Commercial Partner in connection with corporate and other commercial matters as well as initially taking on existing caseload and thereafter to develop own caseload through new clients, existing clients and as a consequence of marketing efforts on your own and/or in tandem with other members of the team.

To work with the Corporate & Commercial Partner on complex cases as required.

Develop any existing areas of specialisation within the departmental structure.

Engage in active marketing of the Department.

Accountable to the Corporate & Commercial Partner.

Corporate & Commercial Solicitor Job Description

* To attend as required departmental meetings

* Marketing - promoting own department, engaging in initiatives of the firm

* Training - self - Professional (ensuring compliance with CPD requirements), I.T. and Management

* Training - others - to assist in and promote staff training and development

* Supervision and management of staff to include the carrying out of appraisal and reviews of departmental staff as appropriate

* Remain up to date with any quality initiative promoted by the Law Society

* Carry out other tasks commensurate with position as a fee earner or as are reasonably requested by the Partners

* Engage in the promotion of the Corporate Commercial, Commercial Real Estate departments and of the firm generally.

* Liaise with and assist Head of Corporate Commercial Department in management of the Department

* Engage in any initiatives or activities as reasonably requested by the Partners in relation to the marketing of the services of the firm generally

* Generally to promote the reputation of the firm.

* Mergers and acquisitions (typically ranging from £100k - £10M) both company and business and asset sales.

* Management buy outs/ buy ins.

* Corporate restructuring.

* Drafting shareholders’ agreements and articles of association.

* Partnership and LLP agreements.

* Company secretarial services.

* Share option schemes.

* Investment work.

* Banking and finance transactions.

* Insolvency and corporate recovery.

* Joint venture agreements.

* Terms and conditions (including ecommerce and online terms).

* GDPR and data protection policies.

* Supply of goods and services agreements.

* Agency and distribution agreements.

* IP registrations and licences.

* IT supply and maintenance services agreements.

* Software as a service agreement.

* General commercial advice to directors, shareholders and investors
